Responsibilities

  • Own intake, triage, and routing: inspect requester, entity, counterparty, contract type, value, data, security, geography, urgency, template, legal issue, renewal, and approvers; validate completeness, select the workflow and template, assign ownership, and expose missing decisions before review begins; prevent or surface incomplete requests enter the queue as emergencies and cycle time becomes a function of repeated clarification.
  • Own templates, clause library, and playbook: inspect approved language, fallback positions, risk tier, jurisdiction, business model, product, data, security, insurance, finance, and counsel approval; maintain versioned templates and clause guidance with clear decision and escalation thresholds; prevent or surface different teams negotiate from stale language and create inconsistent risk and data.
  • Own standard-term negotiation and escalation: inspect counterparty redline, playbook, context, value, precedent, business objective, missing fact, and legal issue; negotiate within approved authority, document concessions, and escalate legal judgment with a clean issue summary; prevent or surface a non-attorney makes a legal-risk decision or off-playbook term slips through without counsel.
  • Own approvals, signature, and repository: inspect authority matrix, required reviewers, entity, signer, final document, attachments, version, metadata, and signature status; route approvals, verify final versus approved language, execute through authorized signers, and store a complete record; prevent or surface the wrong entity or signer executes, or the repository holds a version that is not the signed agreement.
  • Own obligations, renewals, and expiries: inspect term, renewal, notice, price change, deliverable, audit right, data return, insurance, SLA, owner, and reminder; extract material obligations, assign business owners, track notice windows, and escalate upcoming decisions; prevent or surface an auto-renewal, termination notice, or material obligation is missed because it never became operational data.
  • Own CLM data, self-service, and process improvement: inspect cycle time, stage, contract type, term, value, deviations, metadata completeness, user behavior, integration, queue, and adoption; govern data and workflow, expand safe self-service, remove bottlenecks, and measure quality with speed; prevent or surface automation accelerates bad routing, weak approvals, or incomplete contract records.
  • Produce and maintain Contract Intake and Triage Matrix, Template, Clause Library, and Negotiation Playbook, Contract Approval and Signature Record, Obligation, Renewal, and Notice Register, and CLM Data Quality and Cycle-Time Dashboard as reviewable working artifacts.
