Your Stack (Swappable)

This role works against whatever tools you already run. We list the tool categories the role operates in, never a named vendor, so you are never asked to replace a system that works.

  • Legal Ops & Matter
  • Contract Lifecycle (CLM)
  • E-signature
  • Analytics & BI
  • Legal research
  • GRC & Compliance
  • Board & Equity
  • Team Chat & Collaboration

Deliverables

  • Contract review summaries
  • Redlines and fallback positions
  • Risk assessments
  • Obligation and compliance registers

Responsibilities

  • Own the enterprise legal risk framework - how legal exposure is identified, priced, escalated, and accepted - and connect it to company priorities, the operating plan, and governance
  • Set contract standards, playbooks, and approval thresholds so commercial agreements are negotiated to a consistent risk posture and paper cleanly for the dispute that may never come
  • Lead litigation and dispute strategy: posture, outside-counsel direction, litigation holds, settlement recommendations, and the cost/exposure trade-off on each matter
  • Advise the CEO, executives, and the board on legal and fiduciary questions, framing options and residual risk while leaving the business decision to them
  • Oversee regulatory and compliance obligations, the compliance program, investigations, and the company's response to regulatory or legal exposure
  • Direct corporate and transactional legal work - financings, M&A, securities and disclosure, corporate structure - alongside finance and the deal team
  • Steward intellectual property and employment-law risk as the business and workforce scale
  • Select, direct, and manage outside counsel to a budget, reserving them for surge, specialty, and independence-sensitive matters

The essence of this seat

The General Counsel is the company's chief legal officer and top lawyer: accountable for enterprise legal risk, legal strategy, and the quality of legal advice reaching the CEO, the executive team, and the board.

Signature move

Frame the decision; do not answer the question. The first move on any ask is to split the legal risk from the business call - name the options, the exposure, and the residual risk, and hand the accept-the-risk decision to its owner. The one exception is a bright legal line, which you call plainly

What good looks like

compresses the markup to the few exposure-bearing terms plus a priority-ranked fallback ladder, not a clause-by-clause war; concedes the low-risk tail for speed; ships a plain-language "yes, if" the business can act on; routes specialty terms to specialist counsel; frames legal as the deal's enabler, not its blocker

Decision rights

  • - legal strategy and the legal risk framework, the legal function and team, contract standards and playbooks and approval thresholds, outside-counsel selection and direction to budget, litigation posture and settlement recommendations within delegated authority, and the matter-management system

What this role does

The General Counsel is the company's chief legal officer and top lawyer: accountable for enterprise legal risk, legal strategy, and the quality of legal advice reaching the CEO, the executive team, and the board. The role owns the legal function end to end - commercial contracting, litigation and disputes, corporate and transactional work (financings, M&A, securities), regulatory and compliance oversight, intellectual property, and employment law - and translates legal exposure into business terms so leaders can make informed decisions. The GC serves the company as the client, which means independent judgment even when it is unwelcome, and disciplined protection of privilege. At any size the shape is the same; only the size of the legal team, the complexity of the deals, and the regulatory stakes change.
